                        <html:p>Existing law establishes the Santa Clara Valley Transportation Authority (VTA) in order to meet the public transit problems of the County of Santa Clara. Existing law authorizes VTA to purchase or otherwise acquire property for transit-oriented joint development projects, as provided. Existing law also authorizes VTA to accept moneys from, and to contract and cooperate with, any public agency to finance the acquisition and construction of transportation facilities, as specified.</html:p>
                        <html:p>This bill would authorize VTA to similarly purchase or acquire property for rental housing for VTA employees or any other for-sale housing project that promotes housing opportunities for VTA employees, as specified. The bill would also authorize VTA to accept moneys from, and to contract
                         and cooperate with, any public agency to acquire and construct a transit-oriented joint development project or employee housing, as specified. The bill would authorize VTA to form, own, or participate in a limited liability company or other joint venture partnership arrangement for the purpose of a transit-oriented joint development project or employee housing, as provided.</html:p>

                                                        <html:p>The Legislature hereby finds and declares:</html:p>
                                                        <html:p>
                                                                (a)
                                                                <html:span class="EnSpace"/>
                                                                Since the formation of the Santa Clara Valley Transportation Authority, unprecedented growth has occurred in the San Francisco Bay area and in the County of Santa Clara in particular. It has become apparent that additional measures are required in order to deal more effectively with the resultant serious traffic congestion and to foster the development of trade and the movement of people in and around the Santa Clara Valley and throughout the entire San Francisco Bay area.
                                                        </html:p>

                                                                (b)
                                                                <html:span class="EnSpace"/>
                                                                Transit and other modes of transportation are inextricably intertwined, and improvement and maintenance of the road and highway structure in conjunction and coordination with transit improvements are essential to optimize the ability of the Santa Clara Valley Transportation Authority to deal more effectively with serious traffic congestion.
                                                        </html:p>

                                                                <html:span class="EnSpace"/>
                                                                The Santa Clara Valley Transportation Authority, having been designated as the Congestion Management Agency for the County of Santa Clara, and already authorized to construct and improve state and local highways pursuant to Section 100115.5, is uniquely positioned to implement programs to achieve the goal of a balanced approach to solving transportation problems.

                                                                This goal is best achieved in the County of Santa Clara by vesting in the Santa Clara Valley Transportation Authority the ability to plan, design, construct, maintain, and repair road and highway improvements, bicycle, pedestrian, and other transportation facilities, transit-oriented joint development projects, and affordable housing opportunities for the authority’s employees, under the conditions set forth in this part.

                                                                The VTA may take by gift, or take or convey by grant, purchase, devise, or lease, and hold and enjoy, real and personal property of every kind within or without the boundaries of the VTA necessary for, incidental to, or convenient for both of the following:
                                                        </html:p>
                                                        <html:p>
                                                                (1)
                                                                <html:span class="EnSpace"/>
                                                                Transit-oriented joint development projects that meet the definition and requirements set forth in
                                                subdivision (b).
                                                        </html:p>
                                                        <html:p>
                                                                (2)
                                                                <html:span class="EnSpace"/>
                                                                Employee housing that meets the definition and requirements of subdivisions (b) and (c).
                                                        </html:p>

                                                                <html:span class="EnSpace"/>
                                                                (1)
                                                                <html:span class="EnSpace"/>
                                                                For purposes of this section, a transit-oriented joint development project is a commercial, residential, or mixed-use development that is undertaken in connection with existing, planned, or proposed transit facilities and is located

                                                                        <ns0:Denominator> 2</ns0:Denominator>
                                                                </ns0:Fraction>
                                                                 mile or less from the external boundaries of that facility.

                                                                Any transit-oriented joint development project created under this section shall comply with applicable land use and zoning regulations of the city, county, or city and county in which the project is located.
                                                        </html:p>
                                                        <html:p>
                                                                (3)
                                                                <html:span class="EnSpace"/>
                                                                For purposes of a transit-oriented joint development project or employee housing, the VTA may acquire, plan, undertake, construct, improve, develop, maintain, operate, or dispose of any real or personal property.
                                                        </html:p>

                                                                (c)
                                                                <html:span class="EnSpace"/>
                                                                (1)
                                                                <html:span class="EnSpace"/>
                                                                The VTA may construct rental housing for employees pursuant to Chapter 6.3 (commencing with Section 54700.1) of Part 1 of Division 2 of Title 5 of the Government Code and shall, for that purpose, be considered a local agency.
                                                        </html:p>
                                                        <html:p>
                                                                (2)
                                                                <html:span class="EnSpace"/>
                                                                The VTA may construct for-sale housing that promotes housing opportunities for VTA employees.
                                                        </html:p>
                                                        <html:p>
                                                                (d)
                                                                <html:span class="EnSpace"/>
                                                                Notwithstanding Sections 53090 and 53091 of the Government Code or any other law, the authority granted under this section is subject to applicable land use and zoning regulations of the city, county, or city and county jurisdiction in which the transit-oriented joint development is located, in accordance with the Planning and Zoning Law (Title 7 (commencing with Section 65000) of the Government Code), relating to zoning.

                                                                (a)
                                                                <html:span class="EnSpace"/>
                                                                The VTA may form, own, or participate in one or more limited liability companies or other joint venture partnership arrangements for the purpose of planning, financing, constructing, owning, operating, or managing a transit-oriented joint development project or employee housing.
                                                        </html:p>
                                                        <html:p>
                                                                (b)
                                                                <html:span class="EnSpace"/>
                                                                A limited liability company or other joint venture partnership arrangement formed pursuant to subdivision (a) may do any of the following:
                                                        </html:p>
                                                        <html:p>
                                                                (1)
                                                                <html:span class="EnSpace"/>
                                                                Develop affordable housing or employee housing, including mixed-use developments that incorporate transportation-related, commercial, or community-serving uses.
                                                        </html:p>
                                                        <html:p>
                                                                (2)
                                                                <html:span class="EnSpace"/>
                                                                Lease, ground lease, or
                                                otherwise use VTA-owned real property for a transit-oriented joint development project.
                                                        </html:p>
                                                        <html:p>
                                                                (3)
                                                                <html:span class="EnSpace"/>
                                                                Enter into financing arrangements, including loans, grants, tax credits, and public or private investment, consistent with applicable law.
                                                        </html:p>
                                                        <html:p>
                                                                (4)
                                                                <html:span class="EnSpace"/>
                                                                Contract with developers, property managers, and other entities necessary to carry out the purposes of this section.
                                                        </html:p>
                                                        <html:p>
                                                                (c)
                                                                <html:span class="EnSpace"/>
                                                                (1)
                                                                <html:span class="EnSpace"/>
                                                                The governing board of the VTA shall approve the formation of a limited liability company or other joint venture partnership arrangement under this section by adopting a resolution at a noticed public meeting.
                                                        </html:p>
                                                        <html:p>
                                                                (2)
                                                                <html:span class="EnSpace"/>
                                                                The VTA shall retain sufficient control over the limited liability company or other joint venture partnership arrangement to ensure that its activities are consistent
                                                with the VTA’s public purposes and fiduciary obligations.
                                                        </html:p>
                                                        <html:p>
                                                                (3)
                                                                <html:span class="EnSpace"/>
                                                                Meetings of the governing body of a limited liability company or other joint venture partnership arrangement formed pursuant to this section shall be subject to the Ralph M. Brown Act (Chapter 9 (commencing with Section 54950) of Part 1 of Division 2 of Title 5 of the Government Code) to the extent required by law.

                                                        <html:p>The VTA may accept, without limitation by any other provisions of this part requiring approval of indebtedness, contributions, grants, or loans from any public agency or the United States or any department, instrumentality, or agency thereof, for the purpose of financing the acquisition, construction, maintenance, or operation of transit facilities, the acquisition and construction of transportation facilities, or for development projects pursuant to Section 100130.5. The VTA may enter into contracts and cooperate with, and accept cooperation from, any public agency or the United States, or agency thereof, in the acquisition, construction, maintenance, or operation, and in financing the acquisition, construction, maintenance, operation of any transit facilities or in the acquisition and construction of any transportation facilities, or for development projects pursuant to Section 100130.5 in accordance with any state or federal law under which aid, assistance, and cooperation may be furnished by the United States or any public agency in the acquisition, construction, maintenance, and operation of any transit or transportation facilities. The VTA may do any and all things necessary in order to avail itself of aid, assistance, and cooperation under any
                                                state or federal law. Any evidence of indebtedness issued under this section shall constitute a negotiable instrument.</html:p>
